    BUYER REPRESENTATION: RESPONSIBILITIES & DUE DILIGENCE OUTLINE


    I. Overview of Buyer Representation

    Buyer Representation means acting in the best interests of the buyer throughout the acquisition process.


    The representative (advisor, consultant, or intermediary) provides strategic guidance, evaluation, negotiation, and coordination to protect the buyer’s investment and minimize risks.


    II. Core Responsibilities of Buyer Representation


    1. Client Engagement & Needs Analysis

    • Define buyer’s acquisition goals (industry, size, geography, EBITDA range, etc.)
    • Assess financial capability and funding sources (cash, SBA loan, investor capital)
    • Establish acquisition criteria and target profiles
    • Sign Buyer Representation Agreement and Non-Disclosure Agreement (NDA)

    2. Search & Deal Sourcing

    • Identify potential acquisition targets (on-market and off-market)
    • Coordinate with brokers, platforms (e.g., BizBuySell, Axial), and direct outreach
    • Screen and shortlist businesses that meet the client’s criteria
    • Maintain confidentiality throughout the search process

    3. Preliminary Deal Analysis

    • Review business summaries (CIMs/SIMs)
    • Conduct preliminary valuation using key metrics (SDE, EBITDA multiples, comps)
    • Identify red flags early (revenue concentration, lease issues, litigation risk)
    • Advise on which opportunities warrant deeper due diligence

    4. Negotiation Support

    • Draft and submit LOIs (Letter of Intent)
    • Negotiate terms: price, structure, earn-outs, seller financing, working capital
    • Coordinate with legal and financial professionals during term sheet review
    • Maintain buyer leverage while ensuring goodwill with the seller

    5. Due Diligence Coordination

    • Create a due diligence checklist and timeline
    • Coordinate data requests with the seller or broker
