We receive a small monthly retainer by E-invoice, as outlined during our discussion and detailed in the agreement. This retainer is non-refundable but will be credited toward the business success fee upon a successful closing.
We will evaluate Management, Owners, Operations, Assets (RE, Vehicles), Taxes, Systems, Tech, Leadership, Culture, Optimization, Employee Retention, Cash Flow & Market Viability in a few dozen questions to evaluate the business sale.
Next, order a Professional Valuation and CIM. We will go over pricing in our initial discussion. Our team will perform a detailed valuation to determine your business’s true market worth. Using financials, industry data, and comparable sales, we provide a clear, data-driven estimate of value — positioning your business for a successful sale.
After completing a thorough valuation, we’ll confidentially list or source the business(es) for sale across multiple platforms. At the same time, we’ll reach out to qualified private parties and our broker network to begin exchanging NDAs and initiating discussions.
A Letter of Intent (LOI) is a legally binding document prepared by an attorney that expresses a buyer’s intent to purchase the business. It outlines key terms such as contingencies, escrow details, and timelines—allowing us to evaluate and accept a qualified offer at the right value and multiple to move the deal forward.
Finally, we proceed to the Asset Purchase Agreement (APA) or Stock Purchase Agreement (SPA), where both parties sign to confirm the agreed-upon terms — including timelines, contingencies, non-compete clauses, final inventory reviews, and the official closing date.
We’ll clarify the financing structure—whether SBA, cash, or seller financing—and identify each member’s ownership shares or percentage of the business. We can also connect you with trusted accountants, attorneys, and wealth managers to help minimize taxes, maximize your exit value, and safeguard your wealth.
