Sign NDA & Agreement

Ready to sell? We’ve made getting started simple and seamless. Our entire process is outlined and delivered through electronically for easy digital signing. Plus, our advisory services are fully tax-deductible.

Our Monthly Retainer

We receive a small monthly retainer by E-invoice, as outlined during our discussion and detailed in the agreement. This retainer is non-refundable but will be credited toward the business success fee upon a successful closing.

Sellers Questionnaire

We will evaluate Management, Owners, Operations, Assets (RE, Vehicles), Taxes, Systems, Tech, Leadership, Culture, Optimization, Employee Retention, Cash Flow & Market Viability in a few dozen questions to evaluate the business sale.

Valuation & CIM

Next, order a Professional Valuation and CIM. We will go over pricing in our initial discussion. Our team will perform a detailed valuation to determine your business’s true market worth. Using financials, industry data, and comparable sales, we provide a clear, data-driven estimate of value — positioning your business for a successful sale.

The Market

After completing a thorough valuation, we’ll confidentially list or source the business(es) for sale across multiple platforms. At the same time, we’ll reach out to qualified private parties and our broker network to begin exchanging NDAs and initiating discussions.

Receive & Accept LOI

A Letter of Intent (LOI) is a legally binding document prepared by an attorney that expresses a buyer’s intent to purchase the business. It outlines key terms such as contingencies, escrow details, and timelines—allowing us to evaluate and accept a qualified offer at the right value and multiple to move the deal forward.

PA & Signatures

Finally, we proceed to the Asset Purchase Agreement (APA) or Stock Purchase Agreement (SPA), where both parties sign to confirm the agreed-upon terms — including timelines, contingencies, non-compete clauses, final inventory reviews, and the official closing date.

Fund Deal & Tax Strategize

We’ll clarify the financing structure—whether SBA, cash, or seller financing—and identify each member’s ownership shares or percentage of the business. We can also connect you with trusted accountants, attorneys, and wealth managers to help minimize taxes, maximize your exit value, and safeguard your wealth.

Close & Transition

Congratulations! You’ve officially crossed the finish line — the business is sold. New keys, new team, new opportunities ahead. We’re grateful to have been part of your journey and wish you continued success in this exciting next chapter!
